Due Dilligence

Due diligence is an investigation or audit of a potential investment or transection procedures.

Generally, due diligence is conducted prior to the closure of agreement, to confirm all material facts related to such investments merger and acquisition.

There are three main categories of due diligence namely: Commercial due diligence, Financial due diligence and legal due diligence in order.

The timeline for the whole process could be between 5 days to 60 days depending on the size of transaction. Although there is no strict rule of who should conduct due diligence, it is recommended that outsourcing professional would provide both parties of the transaction with in dependent and objective opinion. Therefore companies often hire law firm consultants, or banks for help.

Generally, the information that an acquirer expects is broken down into the following categories:
